Agreement

These terms are between you and Ordne of Austin, Texas, United States (“we”, “us”). By installing or using Ordne, or by creating an account, you agree to them. If you are agreeing on behalf of an employer, you are confirming you may bind them.

Your licence to use Ordne

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Ordne for developing software, on any number of computers you use. Ordne is our property and is not open source; this licence is permission to run it, not to own it.

You may not:

• Redistribute, resell, sublicense or rent the software.
• Modify, reverse engineer or circumvent the parts that check which plan you are on, or otherwise obtain paid features without paying for them.
• Remove or obscure our marks or notices.

Your work is yours

Ordne runs against your working copy on your own machine. You keep every right in your projects, your source code and anything you produce with the software. We claim no licence over it, we do not receive it, and we do not use it to train anything. What our servers hold is described in the privacy policy, and it is your email address and your plan.

The agents Ordne runs are not ours

Ordne launches coding agents and other command-line tools — Claude Code, Codex, Gemini CLI and similar — in a terminal on your machine. Those are other companies’ products.

• You use them under their terms, with your own accounts and API keys, and you pay their costs. Token charges from an agent you run in Ordne are between you and that provider.
• We do not control what an agent does. It runs with your permissions and can change files, run commands and delete things, exactly as it could from your own shell. Reviewing what it does is your responsibility, and we recommend version control.
• Naming those tools describes what Ordne runs. It does not imply that they endorse us or that we are affiliated with them.

Accounts

An account requires a working email address through a sign-in provider. Keep access to it secure; what happens under your account is your responsibility. Tell us at [email protected] if you believe it has been used without your permission. You may close your account at any time.

Free and paid plans

Everything Ordne does on the computer in front of you is free, without caps on projects, processes, agents or terminals, and nothing about it is metered. Reaching a project running on a different machine is the paid capability.

Prices are not yet set. We will state them plainly before anyone is charged, and we will not start charging for something that is free today without telling account holders first. When paid plans exist, payment will be handled by a payment processor rather than by us, this section will say who they are, and it will set out the billing period, renewal and refund terms.

Acceptable use

Do not use Ordne or our service to:

• Break the law, or infringe somebody else’s rights.
• Reach a machine you are not authorised to reach. Attaching a project grants the other side the ability to run code on the machine hosting it; only do that with machines you control or have permission to use.
• Attack, overload or probe our servers, or attempt to access accounts that are not yours.

Availability

Ordne’s local features are designed to keep working whether or not our servers are up, and do not check in with them. The hosted parts — signing in, and paid remote access — depend on our service, and we do not promise a particular level of uptime for them at this stage. We may change or discontinue parts of the service; if we discontinue something you are paying for, we will refund the unused part of what you paid.

No warranty

Ordne is provided “as is”, without warranty of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the software will be uninterrupted or error-free, or that it will produce any particular result.

Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost work, arising out of your use of Ordne — including anything done by an agent you ran through it.

Our total liability under these terms is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred United States dollars.

Some jurisdictions do not allow these exclusions, in which case they apply to you only as far as that jurisdiction permits.

Termination

You may stop using Ordne and close your account whenever you like. We may suspend or end your access if you materially break these terms — for the acceptable-use clause above, immediately; otherwise after telling you and giving you a reasonable chance to put it right. Sections that by their nature should outlast the agreement, including the licence limits, warranty disclaimer and liability cap, continue to apply.

Changes to these terms

We may update these terms. The date at the top changes when we do, and for a change that materially affects you we will tell account holders by email rather than relying on you re-reading this page. Continuing to use Ordne after a change means you accept it.

Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and the courts of Travis County, Texas have exclusive jurisdiction over any dispute — except that either of us may seek an injunction anywhere to protect intellectual property.
